These Terms of Use govern access to and use of the Onwinds services, websites and related tools (together the "Service"). By creating an account, accessing or using the Service, you agree to these Terms on behalf of yourself and any organisation you represent. If you do not agree to these Terms, you must not use the Service.
Onwinds provides a software platform that records and processes transaction requests in a verifiable ledger with evidence and policy outcomes.
Onwinds does not:
You are responsible for how you use the Service in your products, processes and financial operations.
You may use the Service only if:
You must keep account credentials confidential and are responsible for all activity that happens under your accounts.

Onwinds may monitor use of the Service to operate, secure and improve it.
Onwinds may offer Free, Pro and Enterprise plans, each with specific limits, features and commercial terms described on the pricing page or in an order form.
The Free plan is intended for evaluation, development and testing. It is not designed for critical, regulated or high risk production workloads.
Onwinds may:
Material changes for paid plans will be announced in advance where reasonable. If you continue using the Service after changes take effect, you accept the updated terms.
You are solely responsible for:
You must not present Onwinds as a bank, payment institution or regulated financial entity to your own users or customers.
Onwinds processes data in line with its Privacy Notice, which explains what data is collected, how it is used and where it is stored.

Onwinds aims to provide reliable Service with clear service level objectives.
However, the Service may be unavailable from time to time due to maintenance, upgrades, incidents or factors outside the control of Onwinds.
Support levels and any service level commitments are:
Service level commitments do not apply to Free or promotional use, which is provided on an as available basis.
For paid plans, you agree to pay the fees described for the selected plan or in your order form. You authorise Onwinds or its billing providers to charge all applicable fees, taxes and charges to the payment method you provide.
Onwinds may suspend or downgrade your access if invoices remain unpaid after the due date.
Onwinds and its licensors own all rights, title and interest in and to:
You retain all rights in your data and in your own products that integrate with the Service.
These Terms do not transfer any intellectual property rights between you and Onwinds, except for the limited usage rights described here.
Onwinds implements technical and organisational measures intended to protect the Service and customer data.

No system can be completely secure and Onwinds does not guarantee that security incidents will never occur.
To the maximum extent permitted by law, the Service is provided "as is" and "as available".
Onwinds and its affiliates make no warranties or representations of any kind, express or implied, including but not limited to:

These limitations apply whether claims are based on contract, tort, negligence, strict liability or any other legal theory, even if Onwinds has been advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In that case, the limitation will apply to the fullest extent permitted by applicable law.
You agree to indemnify and hold harmless Onwinds and its affiliates from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:
Onwinds may suspend or terminate your access to the Service if:
You may stop using the Service at any time and may terminate your plan in line with the cancellation process described in the Service or in your order form.
Onwinds is not obligated to retain your data after termination, unless required by law or agreed separately. You are responsible for exporting any needed data before termination takes effect.
These Terms are governed by the laws of The Netherlands without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the courts located in Amsterdam, The Netherlands, unless mandatory law requires otherwise.
Onwinds may update these Terms from time to time. The "Last updated" date at the top will be changed when this happens.
If changes are material, Onwinds will provide reasonable notice, for example by email or by notice in the Service. If you continue to use the Service after the updated Terms take effect, you agree to the updated Terms.
